Statutory Corporate Identification
1Legal Agreement & Statutory Authority
These Terms of Service ("Terms", "Agreement") constitute a legally binding electronic agreement between you ("User", "Organization", or "Data Principal") and COSQ Network Private Limited ("Codque", "Company", "we", "us", or "Data Fiduciary"), generated pursuant to the Information Technology Act, 2000, the rules framed thereunder, and the amended provisions pertaining to electronic records in diverse statutes as amended by the Information Technology Act, 2000.
By accessing our website, creating a developer account, generating gateway API keys, configuring CLI daemons, or utilizing our multi-model proxy endpoints, you acknowledge that you have read, understood, and agreed to be bound by this Agreement, along with our Privacy Policy, and agree to comply with all applicable Union of India laws, including the Digital Personal Data Protection (DPDP) Act, 2023 and the Copyright Act, 1957.
2Platform Architecture & Enterprise B2B Inference Commitments
Codque functions as an intelligent, high-availability developer gateway that arbitrates, authenticates, and routes software development instructions to enterprise-grade foundation models.
Non-Training Invariant & B2B Isolation Guarantee:
- Zero Model Training: Prompts, codebase ASTs, repository references, and completion vectors submitted via Codque are processed strictly through contracted commercial enterprise endpoints. Your data is never stored, retained, or utilized to train, retrain, or improve any public or proprietary foundation models.
- Zero Retail Sharing: Codque does not route your enterprise payload to consumer retail accounts. All execution occurs in isolated ephemeral execution contexts.
- Stateless Fallback: Multi-model fallbacks execute in-memory with cryptographic bearer token validation and immediate teardown upon transmission completion.
3Subscription Tiers, Compute Credits & Financial Terms
Platform access is governed under defined subscription plans and prepaid credit allotments:
Subscription Billing Quotas
Subscriptions renew on a cyclical monthly or annual basis. Each tier awards Compute Credits and specifies maximum concurrent active agent allocations and history retention schedules. Unused subscription credits reset at each billing cycle boundary.
Prepaid Non-Expiring Fallback
Prepaid credits remain valid until depleted and provide automatic failover when tier quotas are exhausted. All financial transactions are processed securely via our RBI-tokenized, PCI-DSS Level 1 payment partner (Cashfree Payments) and are subject to 18% GST.
4Intellectual Property & Copyright Act, 1957 Alignment
The rights, licenses, and protections governing code, text, algorithms, and models on Codque are structured in accordance with the Copyright Act, 1957 (as amended):
5Intermediary Due Diligence under IT Rules (2021 & 2026 Amendments)
In compliance with Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (and subsequent statutory amendments), you are strictly prohibited from hosting, displaying, uploading, modifying, publishing, transmitting, or sharing any information that:
- Belongs to another person and to which the user does not have any right;
- Is defamatory, obscene, pornographic, pedophilic, invasive of another's privacy, or libelous;
- Is harmful to children or exploits minors in any form;
- Infringes any patent, trademark, copyright, or other proprietary rights;
- Deceives or misleads the addressee about the origin of the message, or knowingly communicates misinformation;
- Impersonates another person or consists of synthetically generated or deepfake content created with malicious or deceptive intent;
- Threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign States, or public order;
- Contains software viruses, malware, trojans, ransomware, or any computer code designed to interrupt, destroy, or limit the functionality of computer resources.
Codque reserves the right to immediately terminate access, revoke API keys, and preserve evidentiary records pursuant to Section 69 and Section 79 of the Information Technology Act, 2000 upon identifying violations of these statutory prohibitions.
6Safe Harbor, CERT-In Reporting & Intermediary Protections
Codque operates as an intermediary under Section 79 of the Information Technology Act, 2000. Our liability is restricted in accordance with safe harbor provisions, provided we maintain statutory due diligence:
CERT-In Directions Compliance: In accordance with the Cyber Security Directions issued under sub-section (6) of Section 70B of the IT Act, 2000, Codque maintains secure audit logs of system access, synchronized with atomic NTP time servers. All reportable cybersecurity incidents are notified to the Indian Computer Emergency Response Team (CERT-In) within prescribed statutory time windows.
Takedown Mechanism: Upon receipt of actual knowledge through an order of a court of competent jurisdiction or notification by an authorized government agency under Rule 3(1)(d), Codque shall expeditiously disable or remove unauthorized material within statutory deadlines.
7Digital Personal Data Protection (DPDP) Act, 2023 Obligations
Your personal data is governed under the Digital Personal Data Protection Act, 2023. As a Data Principal, you agree to:
- Provide accurate, authentic, and up-to-date registration information (Section 15);
- Not impersonate any other individual or entity when registering or making payment requests;
- Refrain from filing frivolous, misleading, or vexatious grievances with our Grievance Redressal mechanism or the Data Protection Board of India;
- Acknowledge that personal data is processed for specified lawful purposes under Section 4 and Section 7 of the Act. For full information on your rights (access, correction, erasure, nomination), refer to our Privacy Policy.
8Warranty Disclaimers & Limitation of Liability
THE CODQUE PLATFORM, INCLUDING ALL AI INFERENCE ROUTING, ARTIFACT GENERATION, COMPILERS, CLI TOOLS, AND METRIC CONSOLES, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
IN NO EVENT SHALL COSQ NETWORK PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS REPUTATION). OUR MAXIMUM AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF INR 10,000 OR THE FEES PAID BY YOU TO CODQUE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
9Grievance Redressal Mechanism & Nodal Contact
In strict compliance with Rule 3(2) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the DPDP Act, 2023, Codque has appointed a designated Grievance Officer:
10Governing Law & Dispute Resolution
This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed exclusively in accordance with the laws of the Republic of India, without giving effect to any conflict of laws principles.
Subject to initial amicable resolution efforts, the courts situated in Thiruvananthapuram, Kerala, India shall have exclusive jurisdiction over any disputes, legal proceedings, or enforcement actions arising under or relating to this Platform Agreement.
